Terms of Service

These Terms of Service ("Terms") govern access to and use of CostLoom AI ("CostLoom", "the Service"), a garment costing, quotation, and subscription-billing platform operated by Netssta ("Netssta", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

1. The Service

CostLoom provides tools for garment and textile businesses to build cost sheets, generate buyer quotations, manage customers and templates, and (on paid plans) receive AI-assisted extraction of specifications from uploaded tech packs, images, or spreadsheets. Features, usage limits, and plan tiers may change from time to time; material reductions in paid-plan functionality will be communicated in advance where practicable.

2. Accounts & Eligibility

• You must provide accurate registration information and keep it up to date.
• Authentication is handled by our identity provider (Clerk); you are responsible for safeguarding your login credentials and for all activity under your account.
• Organisation admins are responsible for managing team member access and roles within their organisation.
• You must be legally able to enter into a binding contract to use the Service.

3. Subscriptions & Billing

CostLoom offers a Free plan and paid subscription plans (Starter, Growth, and custom Enterprise arrangements) billed monthly. By subscribing to a paid plan you agree that:

• Payments are processed by Razorpay via recurring subscription mandates; we do not store your card or bank details.
• Subscriptions renew automatically each billing cycle until cancelled, and your payment method will be charged automatically per the mandate you authorise.
• Prices are quoted in Indian Rupees (₹) and are exclusive of applicable GST, which is added at the prevailing rate (currently 18%) and shown on your invoice.
• A GST-compliant tax invoice is generated and emailed to your organisation's billing contact after each successful charge, based on the GSTIN and billing state provided in your organisation settings. It is your responsibility to keep this information accurate.
• You may cancel a subscription at any time from your billing settings; cancellation takes effect at the end of the current billing cycle, and no partial-period refunds are provided except where required by law.
• Failure or repeated failure of a recurring charge may result in your plan being downgraded or suspended until payment is resolved.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable export, trade, or sanctions law;
• Upload content you do not have the right to share, or that infringes a third party's intellectual property;
• Attempt to reverse-engineer, scrape, overload, or interfere with the Service's infrastructure;
• Circumvent usage limits, seat counts, or plan restrictions;
• Use the Service to build a competing product using data or output obtained from it.

5. Your Content & Data

You retain ownership of the cost sheets, customer records, templates, tech-pack uploads, and other content you submit to CostLoom ("Customer Content"). You grant us a limited licence to host, process, and display Customer Content solely to provide and improve the Service. Uploaded files are stored in encrypted object storage and are accessible only to your organisation and, where necessary, to us for support and abuse prevention.

6. AI-Assisted Features

Tech-pack extraction and cost-optimisation suggestions are generated using third-party AI models. These features are provided as a convenience to speed up data entry and analysis — outputs may be inaccurate or incomplete and should be reviewed before you rely on them for costing, quotation, or business decisions. We are not liable for losses arising from undetected errors in AI-generated suggestions.

7. Third-Party Services

The Service relies on third-party providers to operate, including Razorpay (payments), Clerk (authentication), Amazon S3 (file storage), Resend (transactional email), and Sentry (error monitoring). Your use of the Service is also subject to the applicable terms of these providers where you interact with them directly (for example, during checkout).

8. Intellectual Property

CostLoom, its logo, and underlying software are the property of Netssta and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service to you; you receive only a limited, non-exclusive, non-transferable right to use it in accordance with your subscription plan.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, misuse the Service, or fail to pay applicable fees, after reasonable notice where practicable. Upon termination, your right to access the Service ends; certain data may be retained as described in our Privacy Policy or as required by law.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. To the maximum extent permitted by law, Netssta will not be liable for indirect, incidental, or consequential damages, or for lost profits or business opportunities, arising from your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the fees you paid us in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in India.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
